Terms of Service

These terms govern your use of Managent during early access. They complement the software license distributed with the product.
Agreement
These Terms of Service (“Terms”) govern access to the Managent coordination service and software (“Service”), provided by Managent (“we,” “us,” or “our”). By installing, accessing, or using the Service you (“Customer”) agree to these Terms.

License and restrictions
The Service is provided under the license in the LICENSE file distributed with the software. In summary:
- Managent is invite-only and is not offered on a public package registry.
- You may not operate Managent as a hosted or managed service for third parties. Only Managent may operate a managed Managent tier.
- You may not reverse-engineer, resell, or sublicense the Service except as the license expressly permits.
If there is a conflict between these Terms and the LICENSE file on a restriction, the LICENSE controls.
Early access
The Service is currently offered free during early access. Access is by invitation. We may change, limit, or discontinue early-access features with reasonable notice.
Paid tiers, pricing, and any minimum commitments are not yet published. When paid tiers launch, we will publish updated terms and pricing on managent.tech before they take effect for existing customers.
Customer data
What the Service processes. Task descriptions, file paths, git metadata, repository clones on your infrastructure, and workspace user emails. The Service is self-hosted by default; we do not receive your code unless you opt into a Managent-operated hosted tier.
Ownership. You retain all rights to your data and code.
Security. We maintain reasonable technical and organizational measures described in our security and architecture documentation, available on request. Disk encryption at rest in a self-hosted deployment is your responsibility.
Privacy. Our handling of personal information is described in the Privacy Policy. A separate Data Processing Addendum may be required for customers subject to GDPR, CCPA, or similar laws — contact us to request one.
Warranties and disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” to the maximum extent permitted by law, without warranties of any kind, whether express, implied, or statutory.
Managent's technical claim is precise: within respected leases, conflicts are impossible by construction, verified by merge replays. That claim must not be overstated to “conflicts never happen.” Enforcement combines advisory coordination, verification, and (where enabled) a pre-commit guard — it is not a filesystem sandbox.
Limitation of liability
To the maximum extent permitted by law, Managent's total liability arising out of or related to the Service will not exceed the fees you paid us for the Service in the twelve (12) months before the claim. During the free early-access period, that amount may be zero. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
Term and termination
We may suspend or terminate your access for breach of these Terms or the license, including operating a prohibited managed service for third parties.
Upon termination you must stop using the Service. License keys will not be reissued. You may export coordination data from your deployment before shutdown; we do not retain your self-hosted database after you decommission it.
Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Massachusetts, and each party consents to personal jurisdiction there.
Changes
We may update these Terms from time to time. When we do, we will revise the “Last updated” date below. Material changes may also be communicated by email or a notice on the website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
